WF i have the website that has top position for LOCAL keyword
let say we "rent boats", the people make reservation online, pay on my website and go the "BOAT PLACE" to get the boats. after i keep my commission and transfer the money to the boat place OWNER.

we kind of partners here. I bring him PEOPLE, he pays me, but as majority of small business owners he can be pain in the ass, if business is slow - he can say BLA BLA BLA, we don't work any more together, don't use my address anymore, i won't pay your commission. When business is good - he goes 'thx BROTHER for helping my business". LOL

soon the NEW season will start and i thinking of SIGNING the contract. I can do it with him or there is another guy who is interested, though his location is not so great...(matters for conversion rate)

The contract must ensure
1. I can use the address for [google places].
2. Ensure that in the middle of busy season he won't find another website to work with, build his one, or WHATEVER.
3. To keep the commission % the same

I have one person who helping me if i need contracts, but INTERNET related questions are his weak point, so i'd like to hear your ideas guys. Does anybody had experience with this kind of situation?

p.s. want it to be done RIGHT one time, and then focus on my other projects.

Tell your lawyer that in the contract he needs to put clauses in there. Stating just what you said. be sure that you outline penalties as well..

this is guess what i am gonna do, just thought maybe i miss smng. Anyway thx.
 
Why not consider making him pay a flat fee every month? The pricing will be tiered based on the number of sales you send him. If he's ever late with his payment one month you start sending sales to his competitors. If he calls up saying why haven't you sent me any customers you say your monthly payment is past due.

i can't really change addresses/location if smng go wrong. I need permanent for the season so i can use it on google maps.
